1. Agreement

By accessing or using My Trade Flow (mytradeflow.co.nz and its subdomains), you agree to be bound by these Terms of Use. If you do not agree, do not use the service. These terms constitute a binding agreement between you ("User", "Client") and LSCH Limited trading as My Trade Flow ("we", "us", "our").

2. Service Description

My Trade Flow is a pipeline management platform designed for trades businesses. We provide web-based dashboards that help you track leads, manage appointments, and integrate with third-party tools like Fergus and Microsoft 365. Each client (tenant) receives their own isolated subdomain and dashboard instance.

3. Eligibility

You must be at least 18 years old and authorised to act on behalf of the business you represent to use this service. By using My Trade Flow, you confirm that you have the authority to enter into these terms on behalf of your organisation.

4. User Accounts & Access

• Access is provided via Microsoft 365 authentication. You are responsible for maintaining the security of your Microsoft 365 account.
• You must not share your access credentials or allow unauthorised persons to access your dashboard.
• You are responsible for all activity that occurs under your account.
• We may suspend or terminate access if we reasonably believe your account has been compromised or you are in breach of these terms.

5. Intellectual Property

5.1 Our Intellectual Property

All intellectual property rights in the My Trade Flow platform, including but not limited to software code, design, user interface, documentation, and branding, are owned by LSCH Limited. You are granted a limited, non-exclusive, non-transferable licence to use the platform for your business purposes only.

5.2 Your Data

You retain full ownership of all data you enter into My Trade Flow. We claim no ownership over your pipeline data, client information, or business records. You grant us only the limited permissions necessary to provide the service (e.g., storing and displaying your data within the dashboard).

5.3 Restrictions

You must not:

• Copy, modify, reverse engineer, or create derivative works of the My Trade Flow platform
• Resell, sublicense, or redistribute access to the platform without our written consent
• Remove or alter any copyright notices, branding, or proprietary markings
• Use the platform for any unlawful purpose
• Attempt to access another tenant's dashboard or data

6. Tenant Isolation

Each client operates on a dedicated subdomain with isolated configuration and data storage. We maintain strict separation between tenants. No tenant can access, view, or modify another tenant's data or configuration. Your data is stored in your own browser and your own Microsoft 365 account — not on shared servers.

7. Third-Party Integrations

My Trade Flow integrates with third-party services including Microsoft 365 and Fergus. These integrations are provided at your direction and subject to the respective third party's terms and conditions. We are not responsible for the availability, accuracy, or security of third-party services.

8. Availability & Support

• We aim to maintain the platform's availability but do not guarantee uninterrupted service.
• We may perform maintenance that temporarily affects availability, with reasonable notice where possible.
• Support is provided via email at hello@mytradeflow.co.nz.

9. Data & Backups

Pipeline data is stored locally in your web browser (localStorage) and optionally synced to your Microsoft OneDrive. You are responsible for maintaining your own backups. We recommend enabling cloud sync and periodically exporting your data. We are not liable for data loss resulting from browser data clearance, device failure, or other causes outside our control.

10. Limitation of Liability

To the maximum extent permitted by New Zealand law:

• My Trade Flow is provided "as is" without warranties of any kind, whether express or implied.
• We shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform.
• Our total liability for any claim shall not exceed the fees paid by you for the service in the 12 months preceding the claim.
• Nothing in these terms excludes or limits liability that cannot be excluded under the Consumer Guarantees Act 1993 or other applicable New Zealand legislation.

11. Indemnification

You agree to indemnify and hold harmless LSCH Limited from any claims, damages, or expenses arising from your use of the platform, your breach of these terms, or your violation of any third party's rights.

12. Termination

• Either party may terminate the service agreement with 30 days' written notice.
• We may terminate immediately if you materially breach these terms.
• Upon termination, you should export your data. We will provide reasonable assistance to ensure you can retrieve your information.

13. Modifications

We reserve the right to modify these Terms of Use at any time. Changes will be posted on this page with an updated date. Continued use of the service after changes are posted constitutes acceptance. Material changes will be communicated to active users via email with at least 14 days' notice.

14. Governing Law

These terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of New Zealand.
